2. Service Description
Scope of Services: Hugo Tyer Limited specialises in delivering bespoke visualisation solutions for the space, defence, telco, automotive and life sciences industries, from conceptual development to delivery of artwork files for use in global campaigns.
Service Expectations: Clients can expect professional service, timely delivery, and adherence to project specifications and creative industry standards.
3. User Obligations
Acceptable Use: Users must engage with our website and services lawfully, ethically, and in accordance with these terms.
Data Integrity: Users agree to provide accurate, current information for registration and billing purposes and to update such information promptly.
4. Intellectual Property Rights
Non-Disclosure: HTL signs, complies and adheres to password protected client and supplier specific non-disclosure agreements, activated at the beginning of the project.
Ownership and Rights: Hugo Tyer Limited retains all rights to all imagery files until fees are paid in full, unless contractually agreed otherwise.
Master Working Files: All master working files remain the property of Hugo Tyer Limited unless otherwise specified in the scope of work, or unless contractually agreed otherwise.
Original Design: Hugo Tyer Limited retains ownership and all intellectual property rights to any original character designs, ideas, or concepts created, unless otherwise agreed in writing. If the client requires a license to use such designs or concepts, the terms must be agreed upon in writing.
Concept Ownership: Hugo Tyer Limited remains the sole and exclusive owner of all drawings, designs, video, animation, performances, models, textures, shaders and scenes created for a specific scope of work as defined during the brief, unless contractually agreed otherwise.
5. Digital Ownership and Licensing
Software and Digital Products: Any software and digital products provided as part of our services come with a non-exclusive, non-transferable license for client use, strictly limited to the agreed-upon purposes.
6. Liability Limitations
Disclaimer of Warranties: Hugo Tyer Limited does not guarantee that all functions contained in our website will be uninterrupted or error-free, that defects will be corrected, or that the website or the server that makes it available are free of viruses or other harmful components. Our website adheres to SquareSpace’s terms of operation.
Limitation of Liability: Except where prohibited by law, in no event will Hugo Tyer Limited be liable to you for any indirect, consequential, exemplary, incidental, or punitive damages, including lost profits.
Payment Delays: Hugo Tyer Limited shall not be responsible for any liability to the client or any third party for delays in payment.
Delivery Delays: Hugo Tyer Limited shall not be responsible for any liability to the client or any third party for delays in delivery or non-receipt of work delivered electronically.
Timeline Delays: Hugo Tyer Limited will work to a project timeline with key milestones that are agreed between any third party and HTL at the beginning of the project. HTL will keep to this timeline however, any missed milestones during the project due to client delays, weather intentional or unintentional, may cause a delay to the final delivery date and potentially incurring additional costs to the agreed project budget.
7. Payment Terms
Budget Agreements: Each project is costed in advance at a contracted rate card of services, written and budgeted into a project scope of work (SOW).
Standard Terms: Payment terms are strictly 15-30 days from the invoice date.
Pre-Payment: Budgets that exceed £10,000 in value, will require a legal agreement between HTL, its partner’s and the client. Typically, an advancement fee of 50% of the budget is required up front, unless otherwise agreed.
8. Marketing and Publicity
Hugo Tyer Limited may publicise, advertise, and market the works on its website, social media, blogs, industry awards, or other platforms once the works have been released to its markets, unless otherwise agreed.
9. Governing Law
Jurisdiction: These Terms & Conditions are governed by and construed in accordance with the laws of the United Kingdom.
Dispute Resolution: Any disputes arising out of or related to these Terms or our services shall be handled in the courts of the United Kingdom, though we strongly encourage attempting to resolve disputes through negotiation or mediation first.
10. General Provisions
Severability: If any part of these Terms is determined to be invalid or unenforceable pursuant to applicable law, the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision.
Modification: We reserve the right to modify these terms at any time, with changes taking effect immediately upon posting to the website.
